IRS Proposes New Regulations: What You Need to Know

On August 4, 2016, the United States Treasury Department issued proposed regulations to Section 2704 of the Internal Revenue Code. These new regulations,  if put into effect as currently written, will significantly impact the ability of taxpayers  and their advisors to utilize previously available valuation discounts when determining the value of interests in family-owned limited partnerships, limited liability companies, and corporations for gift, estate, and generation-skipping transfer tax purposes. That is to say, some strategies that estate planners use to decrease the burden of gift taxes for lifetime transfers and estate taxes after a taxpayer’s death may no longer be viable if the proposed regulations become final.

There will be a brief period of time before these new regulations become final during which clients can take advantage of valuation discounts for commonly used estate planning strategies. Gifting plans, if desired, should be enacted with expediency, as they may no longer be valid after the regulations become final. By way of example: taxpayers who created family limited partnerships with the intention of transferring their interests at a later date will, after the passage of these regulations, potentially no longer be able to discount the value of the gift.

The proposed regulations could go into effect as early as the first quarter of 2017, after a scheduled public hearing on December 1. It is not yet known whether they will undergo changes before being officially enacted.

Michael Ripp to Speak at Int’l Tax Conference

GSRP Partner Michael Ripp will present “Life Insurance and Annuities: Effective Tools in Pre-Immigration Tax Mitigation” at the 35th Annual International Tax Conference. Scheduled for January 5 and 6 in Miami, the conference is sponsored by the Tax Section of the Florida State Bar Association. The session will addresses the various applications of life insurance and annuity products for mitigating the federal tax consequences of immigrating to the U.S., whether temporarily or permanently. It will also emphasize the use of private placement contracts and other cost-efficient products of particular interest to the high net worth immigrant.

Michael’s primary expertise is advising non-U.S. individuals regarding the tax and legal issues involved in pre-immigration planning, temporary residency, and planning for gifts to their U.S.-resident families, both during lifetime and at death. A significant portion of his practice also involves advice regarding mechanisms for deploying leverage in the acquisition or monetization of assets, including real estate.

 

Firm Partners Sweep Best Lawyers Honors

Although we look forward to the release of Woodward/White, Inc.’s Best Lawyers in America© ranking every year, 2017 in particular gives us much cause to celebrate. Partner Derry Swanger will be receiving the honor for his 20th year, Leslie Giordani for her 15th, Michael Ripp for his 10th and Stephen Phillips for his 5th. Cindy Grossman has been named to the list for her second year.

Michael Ripp Attends IR Global Conference

Michael H. Ripp, Jr., one of three GSRP attorneys recently admitted to the international professional network IR Global, will be attending their annual conference October 9-11 in Amsterdam. This is the first time the event will be held outside of London.

Amsterdam is a vibrant city known for business, culture and creativity. The city is also home to a fascinating mix of different nationalities and customs; it is with great pleasure that we await the opportunity to meet an array of illustrious peers from all corners of the globe!

Leslie Giordani Named Finalist for ABJ’s 2016 Profiles in Power

The Austin Business Journal has recently released its list of finalists for the Profiles in Power awards, a local who’s who of accomplished female entrepreneurs, executives, and professionals. First-named partner Leslie Giordani, a superb firm leader and uniquely accomplished attorney with expertise in estate planning, tax, insurance, and more, has been included as one of fourteen finalists in the area of Professional Services.

We extend our congratulations to Leslie, and are thankful to the ABJ for recognizing in her the qualities that we so treasure at our firm. We can’t wait to attend the awards luncheon on September 29!

Peggy Ugent Named Vice Chair of AICPA Panel

It is our great pleasure to announce that Peggy Ugent, our accomplished Tax & Accounting Director, has added another title to her résumé: Vice Chair of the American Institute of Certified Public Accountants’ (AICPA) Trust, Estate and Gift Technical Resource Panel. The 10-person panel monitors legislative and regulatory activity, meets with technical staff at the Internal Revenue Service, the Department of the Treasury, and other professional groups in order to collaborate and help guide policy, and supports the AICPA membership by developing products and services to assists members in tax practice.

Ms. Ugent’s panel recently contributed to the AICPA’s response to proposed IRS regulations regarding the basis of property acquired from an estate, and an executor’s related reporting requirements. The panel’s comments were published in an article in Tax Analysts, which we are proud to share here.

Welcome New Receptionist Hailey J. Bobella to GSRP!

We are excited to announce the addition of Hailey J. Bobella to our practice. Hailey joins GSRP after a five-year stint in New York City, where she served as executive assistant to the CEO of a private wealth management firm. In her role as Receptionist, Hailey assists with the firm’s general administrative duties and writes for our social media and website. In her spare time, she plays cello, guitar and several other instruments, and is active in several Austin-area bands.

Cindy Grossman to Present for the Dallas Bar Assocation

We are very excited to announce that GSRP partner Cindy Grossman will be presenting “Micro-Captives: The Insurance Company You Keep” for the Dallas Bar Association in Dallas, Texas on April 4th. Cindy’s corporate and partnership transactional and tax practice on the state, federal, and international level will inform her remarks about this controversial insurance structure that has generated considerable attention in the last few years.
